Pursuant to provisions of Art.10, 11 and 12 of Law on Associations (“Official Gazette of RS”, no. 51/09) at the assembly of the Association held on 16/04/2011, a decision was reached on some amendments of and modifications to the current Statute
STATUTE OF THE ASSOCIATION OF ANESTHETISTS, RESUSCITATIONISTS AND TRANSFUSIONISTS OF SERBIA
GENERAL PROVISIONS
Article 1
The Association of Anesthetists, Resuscitationists and Transfusionists of Serbia – medical workers of Serbia, engaged to work in anesthesia, emergency medicine-resuscitation and transfusion, hereby voluntarily associate into a professional social organization uniting the aforesaid medical workers for common realizing of goals and tasks stipulated by this Statute.
Article 2.
Organization of voluntarily associated medical workers of Serbia, working in anesthesia, emergency medicine-resuscitation and transfusion.
Article 3.
Title of the association shall be “Association of Anesthetistss, Resuscitationists and Transfusionists of Serbia.”
The Association shall hold the headoffice in Belgrade.
The Association shall operate at the territory of Serbia.
Article 4.
The area of professional activity of the Association shall be the territory of Serbia. The Association shall realize their goals and tasks, stipulated by this Statute, in compliance with legal regulations.
Article 5.
The Association shall hold the capacity of a legal entity, in legal and non-legal relations, and is represented by the President of the Association.
ASSOCIATION OPERATION
Article 6.
Operation of the Association shall be public. The public nature of the operation shall be ensured by free participation in operation of the Association by all members, representatives of medical organization and other legal and physical entities holding an interest and the participation of whom can be utilized to realize professional tasks of the Association. Public nature of the operation shall be ensured through professional publications and other means of public communication, and all the other forms of public uniting for training and coordinating.
Article 7.
The Association may associate with other professional organizations with the purpose of realizing common goals.
If needed, the Association shall cooperate with other professional and work organizations on the basis of treaties and agreements. The decision to associate with other professional organizations is reached by the Association Assembly by simple majority of votes.
Article 8.
The Association is organized with the purpose of realizing goals and tasks in medical service of anesthesia, resuscitation, transfusion (professional education and exchange of experiences with the purpose of service advancement).
Article 9.
Depending on the goals and tasks, the Association shall be organized in compliance with Constitutional principles and in accordance with provisions of this Statute.
The Association may establish Sections in Regions and cities at the territory of Serbia.
The decision on establishing a Section is reached by the Assembly and Presidency of the Association by simple majority of votes.
All general acts of a Section must comply with the Statute of the Association.
Article 10.
The Association:
– monitors operation of Sections in Regions and cities in order to develop mutual cooperation
– organizes professional gatherings in order to make arrangements and to specialize
– follows scientific findings in specific fields and informs members of the Association thereof
– keeps records of members and records of membership fees
– works on publishing of a professional Magazine or participates and ccordinates on publishing of professional publications,
– cooperates with Republic bodies of legislative and executive authority on activities in the interest of the Association
– coordinates with professional organizations of medical workers on allissues of mutual interest
– ensures realizing of conclusions and decisions of the Asosciation Assembly.
Article 11.
Any citizen working in anesthesia, emergency medicine, resuscitation and transfusion can become a member of the Association under equal terms and in tha manner stipulated by this Statute.
Article 12.
Membership status in the Association shall be acquired on the basis of voluntarily submitted intrant by a physical entity.
Decision on admission to membership shall be reached by the Assembly and communicated to submitter of the application.
A member may withdraw from membership by supplying a written statement on the withdrawal.
Membership in the Association may terminate due to extended inactivity of a member, disrespect for provisions of this Statute or damaging the Association reputation.
Decision on termination of membership shall be reached by the Asembly, to the justified proposal of the Association Presidency.
A member must be allowed to make a statement on the reasons for the proposal to reach the decision on termination of their membership in the Association.
A member of the Association is entitled to:
1) participate in realizing goals of the Association equally to other members;
2) directly participates in deciding at the Assembly meetings, as well as bodies of the Association;
3) elects and be elected into bodies of the Association;
4) be timely and fully informed on operation and activities of the Association;
A member of the Association is obliged to:
1) actively contribute to realizing of goals of the Association;
2) participate, according to interest, in activities of the Association;
3) pays the membership fee;
4) cherish medical ethics and protect the image of a medical worker.
5) perform other tasks entrusted by the Presidency of the Association.
Membership of the Association shall terminate:
1) by voluntary withdrawal from the Association, with mandatory written communication to the Association on the decision,
2) by exclusion due to failure to meet the obligations arising from this Statute
3) decision on exclusion is reached by the Assembly.
ASSOCIATION BODIES
Article 13.
Assembly of the Association is constituted by all of its members.
The Assembly shall meet regularly once a year. Extraordinary session of the Assembly may be convened to the justified proposal of the Presidency of the Association, as well as following the initiative of at least one third of the Assembly members. The Initiative shall be submitted to the Presidency of the Association in writing and must contain issues proposed for discussion. The session of the Assembly shall be convened by the Association Presidency President, by written communication on the location and time of the assembly and proposed agenda. The session shall be presided by the person selected by public vote thereto at the beginning of the session.
The Assembly shall:
1) reach the work plan and programme;
2) adopt the Statute, as well as amendments of and modifications to the Statute;
3) elect and release members of the Presidency;
4) adopt other general acts of the Association;
5) discuss and adopt the Presidency report at least once a year;
6) discuss and adopt the financial plan and report;
7) decide on the level of membership fee for the following year;
8) decide on status changes and termination of operation of the Association;
The Assembly shall reach a valid decision if at least one half of the members with right of vote are attending. The Assembly shall decide by majority of votes of the attending members.
The decision on amendments to and modifications of the Statute, status changes and termination of operation of the Association requires two-thirds majority of votes of the attending members.
Article 14.
Presidency is an executive body of the Association taking care of realizing goals of the Association as established by this Statute.
Presidency consists of nine members (with reference to structure and vocational structure), elected and revoked by the Assembly.
Duration of a Presidency member mandate is four years and they can be reelected to the same position.
The Presidency shall elect the President and Deputy President from among the members.
Article 15.
Presidency President shall represent the Association in legal transactions and holds rights and duties of financial commissioning.
Deputy to the President is authorized to represent the Association in absence of the Presidency President and sign all the monetary documents.
President of the Presidency shall appoint and elect the Secretary of the Association.
President of the Presidency shall elect and appoint the Chief Editor of the professional publication.
Deputy to the Presidency President shall perform all tasks of the President in the time of absence of the President, as well as tasks by the order of the President.
Secretary of the Association performs all tasks by the order of the Presidency President, is entitled to sign all documents except those related to financial operation.
The Secretary is entitled to decide (valid deciding in vote)
The Presidency shall :
1) manage operation of the Association between two sessions of the Assembly and reach decisions in order to realize goals of the Association;
2) organize regular operation of the Association;
3) reach financial decisions;
4) decide on initiating the process of amendments to and modifications of the Statute, at their initiative or at the proposal of at least five members of the Association and prepare the proposal for amendments and modifications, to be submitted to the Assembly for adoption;
5) entrust special tasks to individual members (in absence of the Association President, the possibility of signing individual acts if not related to financial funds)
6) decide on other issues outside of authority, stipulated legally or by this Statute, of other bodies of the Association.
The Presidency shall reach valid decisions if at least one half of the members are attending, and shall reach decisions by majority of votes of all the attending members.
Article 16.
The Presidency shall take care of regular communication to the members and the public on operation and activities of the Association, directly or through internal publications, that is, via press release or other appropriate manner.
Article 17.
Organization Board:
At each regular session the Assembly shall elect Organization Board members, to organize the following professional session.
All active members of the assembly may be elected to the Organization Board.
Organization Board includes their own President and Deputy.
Article 18.
The Council of Publishing Activity and Education is a body of the Association following professional achievements in anesthesia, emergency medicine and transfusion and thereupon advises the Presidency with regards to vocational work, education and professional publication.
Article 19.
In order to realize their goals, the Association shall establish contacts and cooperate with other professional vocational associations and organizations, local and international.
The Association may join international associations, whereof the Assembly shall decide.
Article 20.
The Assembly shall collect funds through membership fee, contributions, donations and gifts, financial subsidies and any other legally stipulated manner.
The Association may also acquire funds through participation fees for seminars, congresses and other forms of educating in the field stipulated by this Statute.
The profit acquired in the aforesaid manner may be used exclusively:
1) to realize goals of the Association, including expenses of regular operation of the Association and personal participation in financing of certain projects;
2) to organize professional events of the Association (congresses, simposiums, seminars, etc.)
3) for daily allowance and travel expenses of the members of management bodies of the Association
4) for administration expenses and postal services of the Association.
5) for expenses of regular publications of the Association.
Article 21.
The Association shall terminate operation by decision of the Assembly, once the conditions to realize goals of the Association cease, and in other cases stipulated by the Law.
Article 22.
In case of termination of the Association operation, property of the Association shall be transferred on the Association of Children with Leukemia.
Article 23.
The Association holds a round stamp with circular inscription “ASSOCIATION OF ANESTHETISTS, RESUSCITATIONISTS, TRANSFUSIONISTS OF SERBIA”, and BEOGRAD inscribed in the centre.
Article 24.
The Association holds a logo – sign, round in shape, with two poppyseed branches on the sides, and a drop of blood with a snake and an apothecary container in the centre.
Centre of the sign holds initials of the full name of the Association, namely, ART.
Article 25.
Physical entities who improve and assist realizing of goals and tasks of the Association by their work, indirectly or directly, can become Honorary Members of the Association. They are elected by the Assembly of the Association, at the proposal of members and bodies of the Association.
Article 26.
Work in the Association is voluntary for all members of the Association, as well as management bodies.
Article 27.
Any questions outside of stipulation of this Statute shall be subjected to direct application of provisions of the Law on Associations.
